DOJ Gives O.K. to CVS Acquisition of Aetna with Conditions

Earlier this week, the Department of Justice’s Antitrust Division announced that it would not challenge the proposed acquisition of Aetna by CVS Health pending the completion of conditions.

Aetna must divest itself of it Medicare Part D business.  Arrangements are in the works for WellCare Health Plans to buy Aetna’s Medicare prescription drug plans which currently covers 2.2 million members.  DOJ also set as a condition of the approval that Aetna allow WellCare to hire key employees who currently operate its Medicare Part D business.

With a closing date scheduled by year’s end, the CVS-Aetna deal will allow the pharmaceutical giant to convert more of its brick-and-mortar stores into clinics for basic medical services and patient monitoring in an effort to bend the cost curve.
